Company: Venn Ltd (“Venn”, “we”, “us”)

App name: Venn (the “App”)
1) Acceptance
By downloading, accessing, or using the App, you agree to these Terms. If you do not agree, do not use the App.
If you use the App on behalf of a business or other entity, you confirm you have authority to bind that entity, and “you” includes that entity.
2) What Venn does
Venn helps users explore time-based accessibility and convenience between locations (for example, meeting points and commute-friendly areas) using mapping, travel-time, and other data services.
Important:
Results are estimates. Real-world travel times can differ due to traffic, service disruptions, routing changes, weather, and other factors.
3) Eligibility
You must be at least 13 years old to use the App. If you are under the age of majority where you live, you confirm you have permission from a parent or guardian.
4) Your account
- You are responsible for keeping your login details secure.
- You must provide accurate information and keep it updated.
- You are responsible for activity on your account unless caused by our breach.
We may suspend or terminate accounts for suspected misuse or security concerns.
5) Licence and acceptable use
We grant you a personal, non-exclusive, non-transferable, revocable licence to use the App for your own lawful purposes, subject to these Terms.
You must not:
- reverse engineer, decompile, or attempt to extract source code except where permitted by law
- bypass or interfere with security or access controls
- scrape, overload, or disrupt the App or our providers’ services
- use the App to break the law or infringe rights
- upload malware or harmful code
- use automated systems to access the App without our permission
- use the app for any business activity
6) Location features and permissions
Some features may require location permissions. You can enable or disable location access in your device settings at any time. If you disable it, certain features may not work.
7) Third-party services
The App may rely on third-party services (for example, mapping, routing, travel-time, analytics, crash reporting, and authentication providers). Those services may have their own terms and policies. We are not responsible for third-party services, and your use of them is at your own risk.
8) Subscriptions, paid features, and trials
- Prices, billing frequency, and included features are shown in the App or the App Store listing.
- Payment is processed by the app marketplace. We do not store your full payment card details when you pay via the App Store.
- Trial terms (if any) will be displayed at sign-up.
- You can manage or cancel subscriptions through your App Store account settings. Cancellation takes effect at the end of the current billing period unless the App Store rules state otherwise.
9) Content and feedback
If you submit feedback, suggestions, or feature ideas, you grant us the right to use them without restriction or compensation (unless prohibited by law).
10) Intellectual property
All rights in the App, including software, design, logos, and content (excluding User Content), are owned by Venn or its licensors and are protected by intellectual property laws.
11) Disclaimers
The App is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, we do not guarantee that:
- the App will be uninterrupted or error-free
- estimates or outputs will be accurate, complete, or suitable for your specific purpose
- the App will always be available (maintenance and outages may occur)
You should not rely on the App for emergency services, safety-critical decisions, medical decisions, or legal/financial advice.
12) Liability
Nothing in these Terms excludes or limits liability that cannot be excluded by law (including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation).
Subject to the above, to the maximum extent permitted by law:
- we are not liable for indirect, consequential, special, or punitive losses
- we are not liable for loss of profits, loss of data, loss of goodwill, or business interruption
13) Indemnity (business users)
If you use the App for business purposes, you agree to indemnify us against claims arising from your unlawful use, breach of these Terms, or infringement of third-party rights. You must notify us of business use to allow for different packages that must be approved by Venn.
14) Suspension and termination
We may suspend or terminate access if:
- you breach these Terms
- required by law or a third-party provider
- necessary to protect security, users, or our systems
You may stop using the App at any time. Sections that should reasonably survive termination will survive (for example: IP, disclaimers, liability, and governing law).
15) Changes to the App or these Terms
We may update the App or these Terms. If changes are material, we will take reasonable steps to notify you (for example, in-app notice). Continued use after changes means you accept the updated Terms.
16) Governing law and disputes
These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, except where consumer protection laws in your country require otherwise.
17) App Store terms (Apple)
If you downloaded the App from Apple’s App Store:
- these Terms are between you and Venn, not Apple
- Apple has no responsibility for the App except as required by law
- Apple is a third-party beneficiary of these Terms and may enforce them
